REORGANIZATION IMPLEMENTATIOn: MAXIMIZING THE INTERESTS OF THE SHAREHOLDERS 

We use our legal / financial expertise, our deep negotiating DNA and our network of contacts to closely accompany the client throughout the judicial Reorganization Process:

  • The debtor must present the proposed reorganization agreement at least 10 days before the creditors' meeting: The court must issue the Liquidation Resolution. Once the proposal has been notified, it cannot be withdrawn.

  • The Reorganization Agreement seeks to solve each class of liability or category in different ways. The trustee promotes the Agreement and inform the creditors:

    • Reasonableness: If the proposal can be fulfilled

    • Comparison: With what would correspond creditors in a liquidation

    • Legality: Regarding the determination of credits and their preferences

  • The Agreement must be put to a vote, which, if approved, binds all its creditors.

    • Implementation of improvement actions in Free Cash Flows once the reorganization process has been approved

    • Income flow improvements

    • Reduction of expenditure flows

    • Focus on the simplest and fastest implementation methods

Emmanuel is Gran Vista’s founder, He has 27 years of professional experience, including 20 as a consultant and 7 years in financial services and new business development. His areas of expertise include strategic sourcing, tail spend sourcing, outsourcing / offshoring, highly complex negotiations, organizational design and operations improvement.

 

He has led more than 100 projects in cost reduction for companies in the USA, Australia, Peru, Brazil, Zambia, South Africa, Chile and Mexico. Projects developed in several industries as mining (gold, copper, nickel, tin and non-metallic mining), energy (fuels), health, insurance, banking, consumer goods, retail, telecommunications, auto parts, airlines, universities and media among others. He has negotiated over US$ 2 billion to date.

 

Emmanuel has an MBA from Stanford University Graduate School of Business, a J.D. from Columbia University School of Law and a B.A. in Economics from Texas A&M. He speaks English, French and Spanish.

RESTRUCTURING NEGOTIATION EXPERT

Francisco has 28 years of professional experience in the banking, retail and technology industries, including 18 years as a consultant focused on control and execution of supply and strategy projects in Chile and South America. He has participated and led projects in the mining, retail, telecommunications, utilities, manufacturing, transportation and banking industries. He has also experience in Finance, Administration, Business Development and Human Resources.

 

Francisco has an MBA from IEDE and the University of Lleida, Spain and a Commercial Engineer degree from Universidad Bernardo O’Higgins. He speaks Spanish and English.

MARCELA 

POBLETE

EXPERT INSOLVENCY LAWYER

Marcela Poblete, has 15 years of experience in Bankruptcy Law.

 

She worked for 5 year for Nelson Contador Law Office, one of Chile’s most important Bankruptcy legal practice. He also worked at Chile’s Bankruptcy Superintendency, where she created and led the “Preventive Judicial Agreement Inspection Plan”, whose focus was restructuring. With the enactment of Law 20,720 on Insolvency and Re-entrepreneurship, Marcela began to oversee large Bankruptcy procedures. She also directed the her to finally lead the Chile’s  IV-Region State Bankruptcy Superintendency for 5 years.

 

Marcela has a law degree from the Diego Portales University (Chile). She is professor of Bankruptcy Law at Universidad Católica del Norte.

GONZALO

ESPINOSA

EXPERT INSOLVENCY LAWYER

Gonzalo Espinosa has 10 years of legal experience in bankruptcy, banking, corporate law and civil litigation. He is an expert Chile’s 20,720 Law on Insolvency and Re-entrepreneurship for Companies and People.

 

He has served as Chief Credit Portfolio Normalization Officer at several Chilean banks. He has also lead insolvency processes for most of Chile’s most prominent bankruptcy law firms.

 

Marcela has a law degree from Andrés Bello National University. He speaks Spanish and English.
